ITEM 8.01. Other Events.
On September 7, 2005, the United States Securities and Exchange Commission declared effective the resale registration statement that DiamondRock Hospitality Company filed on April 4, 2005, as amended. The resale registration statement relates to 20,850,000 shares of DiamondRock Hospitality Company’s common stock that we sold to certain investors in our 2004 private placement. DiamondRock Hospitality Company filed the resale registration statement pursuant to the Registration Rights Agreement, dated as of July 7, 2004.
